§ 1 Scope of Application
(1) These General Terms and Conditions apply to orders placed through the online store of RIWO Commerce GbR.
(2) A “consumer” is any natural person who acts primarily for private purposes. A “business customer” is a natural person, a legal entity, or a partnership with legal capacity that, at the time the contract is concluded, is acting in the course of its commercial or self-employed professional activity.
(3) For consumers, the statutory consumer protection provisions apply, including the statutory right of withdrawal. Special provisions for business customers apply exclusively to business customers.
§ 2 Conclusion of the Contract
(1) Product descriptions do not constitute a binding offer.
(2) By submitting the order, the customer makes a binding offer. Receipt of the order is confirmed electronically. This confirmation of receipt documents the receipt of the order but does not constitute acceptance unless it is expressly designated as such.
(3) The contract is concluded either by a separate declaration of acceptance or by shipment of the goods.
§ 3 Prices and Payment Terms
(1) For consumers, total prices are quoted inclusive of applicable sales tax. For businesses, the prices shown during the ordering process apply; sales tax is shown separately, to the extent required by law.
(2) Shipping costs are displayed before the order is placed. The available payment methods and their respective terms are displayed during the ordering process.
(3) Payments are due upon conclusion of the contract, unless otherwise specified during the ordering process.
§ 4 Delivery and Transfer of Risk
(1) The delivery time is specified on the respective product and order page.
(2) With respect to consumers, the risk of accidental loss or accidental deterioration does not pass to the consumer until the goods are handed over to the consumer or to a person authorized to receive them on the consumer’s behalf.
(3) With respect to business customers, the statutory provisions regarding the transfer of risk apply.
§ 5 Packaging
RIWO Commerce GbR complies with the legal requirements for packaging registration and participation in recycling systems. Any additional obligations are transferred only to the extent permitted by law and on a customer-group-by-customer-group basis.
§ 6 Right of Withdrawal and Returns
Consumers are entitled to the statutory right of withdrawal. Details are set forth in the separate withdrawal policy. Consumers may unpack and examine the goods to assess their nature, characteristics, and functionality. Any use beyond this may result in compensation for diminished value pursuant to § 357a of the German Civil Code (BGB) if a demonstrable loss of value occurs. This does not preclude the right of withdrawal. There is no blanket exclusion for used abrasives.
§ 7 Retention of Title
The goods remain the property of RIWO Commerce GbR until full payment has been made.
§ 8 Liability for Material Defects and Normal Wear and Tear
(1) The statutory rights regarding defects apply.
(2) Abrasives, polishing pads, sanding belts, sanding discs, and similar consumable and wear-and-tear products are subject to normal wear and tear. Wear and tear, material consumption, and a reduction in sanding or polishing performance resulting from use in accordance with the contract do not constitute a material defect, provided that the goods were free of defects at the time of transfer of risk.
(3) Statutory rights regarding defects remain unaffected. A defect exists, in particular, in the event of a lack of agreed-upon quality, atypical premature wear, material defects, delamination, incorrect grit, incorrect dimensions, or a lack of agreed-upon suitability.
(4) With respect to business customers, the statutory obligations to inspect and give notice of defects under § 377 HGB apply in addition, provided the customer is a merchant. Statutory claims of consumers are neither excluded nor limited.
§ 9 Data Protection
Information regarding the processing of personal data can be found in the store’s privacy policy.
§ 10 Liability of
(1) RIWO Commerce GbR bears unlimited liability in cases of willful misconduct, gross negligence, injury to life, limb, or health, under the Product Liability Act, in cases of fraudulent concealment of a defect, and in cases where a guarantee has been assumed.
(2) In the event of a breach of material contractual obligations due to slight negligence, RIWO Commerce GbR’s liability is limited to the amount of foreseeable, typically occurring damage. Otherwise, liability for breaches of duty due to slight negligence is excluded.
(3) The limitations of liability do not apply to the extent that mandatory law precludes them.
§ 11 Shipments Outside the European Union
Shipments to third countries may be subject to customs duties, import sales tax, and other charges. These costs are borne by the customer, to the extent permitted by law and provided that this was noted during the ordering process. The specific shipping and delivery terms listed apply to the respective shipment.
§ 12 Final Provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. With respect to consumers, this choice of law applies only to the extent that it does not deprive them of mandatory consumer protection at their habitual residence.
(2) The place of jurisdiction for merchants, legal entities under public law, and special funds under public law is the registered office of RIWO Commerce GbR.
(3) Should any provision be invalid, the validity of the remaining provisions shall remain unaffected.
Consumer Dispute Resolution
RIWO Commerce GbR is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
